Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and Ullumi Resolutia Marketing, LLC ("we", "us", "MultiBiz Ledger"), governing your access to and use of the MultiBiz Ledger bookkeeping application and related services (the "Service").
1. Acceptance
By creating an account or continuing to use the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business.
2. The Service
MultiBiz Ledger provides bookkeeping organization, receipt capture and OCR, bank/wire import, document storage, financial reporting, and related features. It is not a substitute for a licensed accountant, CPA, tax preparer, attorney, or financial advisor. You are responsible for reviewing all imported and AI-categorized data before relying on it.
3. Accounts
- You must provide accurate information and keep it up to date.
- You are responsible for activity under your account and for keeping credentials confidential.
- You must be of legal age in your jurisdiction to form a binding contract.
4. Acceptable use
You will not:
- Use the Service unlawfully or to send fraudulent, deceptive, or spam content.
- Infringe intellectual property or privacy rights of others.
- Introduce malware, probe or scan the Service, or attempt to bypass security or rate limits.
- Reverse engineer, resell, or redistribute the Service, or circumvent technical limits.
5. Payments, subscriptions, tax, and refunds
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by the Paddle Buyer Terms. See also our Refund Policy.
6. Intellectual property
We retain all right, title, and interest in the Service, including software, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service within your subscribed plan. You retain ownership of content you upload; you grant us a limited license to host and process it solely to provide the Service.
7. Service level
We work to keep the Service available and accurate but do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
8. Suspension and termination
We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, you may export your data for a reasonable period before deletion.
9. Liability
To the maximum extent permitted by law, our aggregate liability is capped at the fees you paid to Paddle for the Service in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury where the law does not permit such limitation.
10. Indemnity
You will indemnify us against claims arising from content you upload, your unlawful use of the Service, or your breach of these Terms.
11. Governing law
These Terms are governed by the laws of the State where Ullumi Resolutia Marketing, LLC is registered, without regard to conflict-of-laws principles. Courts located in that jurisdiction have exclusive venue for disputes, subject to mandatory consumer protections in your country of residence.
12. Changes
We may update these Terms from time to time. Material changes will be communicated in-app or by email. Continued use after the effective date constitutes acceptance.
